These Terms of Service (the "Terms") govern the use of the Hoken Pass platform (the "Platform"), available at www.hokenpass.com, and all related services, including Digital Product Passport (DPP) creation, blockchain notarization, trusted timestamping, QR code generation, and team management features (collectively, the "Service"). By creating an account, accessing, or using the Service, you accept these Terms. If you do not agree, you must not use the Service.
2. Account Registration
- You must provide accurate, complete, and up-to-date information at registration.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must be at least 18 years old or have the authority to bind the organization you represent.
- We may suspend or terminate accounts that violate these Terms, applicable law, or that are used fraudulently.
3. Description of the Service
The Service provides a software platform for creating, managing, publishing, and notarizing Digital Product Passports in compliance with EU regulations, including the Ecodesign for Sustainable Products Regulation (ESPR), the EU Digital Product Passport framework, the EU Data Act (CAD), and eIDAS. Depending on the plan selected, the Service includes:
- Creation and management of Digital Product Passports
- Public passport pages with customizable branding
- Blockchain notarization on the EOS/Vaulta network (hash-only)
- Qualified timestamping through a certified QTSP (eIDAS)
- QR codes and GS1 Digital Links
- Team management and role-based access control
- PDF, JSON, and XML exports, including EU Registry formats
4. Subscriptions, Billing, and Payment
- Paid plans are billed in advance on a monthly or annual basis, as selected at checkout.
- All prices are in Euro (EUR), exclusive of applicable taxes unless otherwise stated.
- Payments are processed exclusively through Stripe using credit/debit cards. We do not process or store card data directly.
- One-time services, such as notarization, are charged at the applicable rate at the time of purchase.
- We reserve the right to change prices at any time. Price changes affecting renewals will be communicated with reasonable notice before the renewal date.
- Unpaid invoices may result in suspension of the account until payment is settled.
5. Cancellation and Refund Policy
We want you to be fully satisfied with the Service. Our refund policy is intentionally broad and is evaluated on a case-by-case basis in favor of the customer:
- Recurring subscription plans may be cancelled at any time. You may request a pro-rata refund for the unused portion of the current billing period, which will be granted at our discretion and, in general, where no significant use of the Service has occurred.
- First-time customers may request a full refund of their first paid subscription within 14 days of the initial purchase if the Service has not met reasonable expectations.
- Technical service failure: if the Service is unavailable due to a fault attributable to us for a sustained period, you may request a refund or service credit for the affected period.
- Duplicate or erroneous charges: we will refund in full any charge made in error or in duplicate.
- One-time services (e.g., notarization) are refundable within 14 days of purchase if the service has not been performed or if the blockchain transaction has not been executed. Once a notarization has been executed on-chain, it is technically irreversible; in such cases we will, where applicable, provide alternative remedies at our discretion.
- Statutory rights: nothing in this policy limits your statutory rights under applicable consumer law, including the right of withdrawal under Directive 2011/83/EU where it applies to digital services.
- Refunds are processed to the original payment method within 14 days of approval. Depending on your bank or card issuer, it may take additional time for the refund to appear.

6. Right of Withdrawal (Consumer Protection)
If you are a consumer in the European Economic Area, you have a statutory right to withdraw from the contract within 14 days of its conclusion without giving any reason (Directive 2011/83/EU). To exercise the right of withdrawal, you must notify us by an unequivocal statement. Where you have expressly requested the Service to begin within the withdrawal period and have acknowledged that you lose the right of withdrawal once the Service is fully performed, your right of withdrawal will be lost upon full performance of the contract. Any amounts paid will be refunded within 14 days.
7. Your Content and Responsibilities
- You retain all rights to the content you upload to the Platform ("Your Content").
- You grant us a limited license to process, store, and display Your Content solely to provide the Service.
- You are solely responsible for the accuracy, lawfulness, and quality of Your Content, including product data, claims, and certifications.
- You must not upload content that infringes third-party rights, is unlawful, or contains personal data you are not authorized to process.
- You are responsible for compliance with the EU Digital Product Passport framework and all applicable sectoral regulations (including ESPR delegated acts).
- Blockchain transactions are permanent and irreversible. You acknowledge that notarized records cannot be altered or removed from the public ledger.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Platform, other accounts, or related systems;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service;
- Interfere with or disrupt the Service, networks, or connected infrastructure;
- Use automated means (scraping, bots) to access the Service except as permitted;
- Upload malware, viruses, or any harmful code.
9. Intellectual Property
The Platform, including its software, design, branding, documentation, and all related materials, is the exclusive property of Hoken Tech S.r.l. and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
10. Data Protection and Security
Your personal data is processed in accordance with our Privacy Policy. We implement appropriate technical and organizational measures to protect your data. We are not responsible for unauthorized access to data caused by circumstances beyond our reasonable control, including your failure to safeguard your credentials.
11. Availability, SLA, and Disclaimers
- We aim to provide a highly available Service but do not guarantee uninterrupted or error-free operation.
- The Service is provided "as is" and "as available".
- We do not warrant that the Service will meet all regulatory requirements applicable to your specific products or jurisdiction. You are responsible for determining the applicable legal framework for your products.
- Blockchain notarization depends on third-party networks (EOS/Vaulta). While we select and configure the network, we are not responsible for network-level disruptions.
- Qualified timestamps are provided by independent QTSPs; their validity is subject to the QTSP's terms and certification status.
12. Limitation of Liability
To the maximum extent permitted by law, Hoken Tech S.r.l. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the use of the Service. Our total aggregate liability for all claims relating to the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Termination
- You may terminate your account at any time from the dashboard or by contacting us.
- We may suspend or terminate your access if you breach these Terms, if required by law, or if we cease providing the Service.
- Upon termination, your access to the Service ceases. You may export your data before termination; stored data is handled in accordance with our Privacy Policy.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The latest version is always available at this URL.
15. Governing Law and Jurisdiction
These Terms are governed by Italian law. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bari, Italy, unless mandatory consumer law provides otherwise. If you are a consumer, you may also refer disputes to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
